Please read these terms carefully. By accessing or using our services, you agree to be bound by the terms and conditions outlined below.
GenieBot.io owns and provides a cloud-based artificial intelligence service offering chatbots for customer support, sales, and user engagement (the “Service”). Anything the Customer (including Users) configures, customizes, uploads, or otherwise utilizes through the Service is considered a “User Submission.” Customers are solely responsible for all User Submissions contributed to the Service.
The Service may include templates, scripts, documentation, and other materials that assist the Customer in using the Service (“GenieBot.io Content”). Customers will not receive or have access to the underlying code or software of the Service (collectively, the “Software”) nor receive a copy of the Software itself.
Subject to the terms of this Agreement, Customers may purchase a subscription to, and have the right to access and use, the Service as specified in one or more ordering screens agreed upon by the parties through GenieBot.io’s website or service portal that reference this Agreement and describe the business terms related to the Customer’s subscription (“Order(s)”).
All subscriptions are for the period described in the applicable Order (“Subscription Period”). Use of and access to the Service is permitted only for individuals authorized by the Customer and solely for Customer’s internal business purposes, not for the benefit of any third party (“Users”).
GenieBot.io owns the Service, Software, GenieBot.io Content, Documentation, and anything else provided by GenieBot.io to the Customer (collectively, the “GenieBot Materials”). GenieBot.io retains all rights, title, and interest (including all intellectual property rights) in and to the GenieBot Materials, related and underlying technology, updates, enhancements, modifications, or fixes thereto, as well as derivative works of or modifications to any of the foregoing. No implied licenses are granted under this Agreement.
The Service includes customizable settings allowing Users to grant permissions to other Users to perform various tasks within the Service (“Permissions”). It is solely the Customer’s responsibility to set and manage all Permissions. GenieBot.io has no responsibility for managing Permissions and no liability for Permissions set by the Customer and its Users.
The Customer may provide access to the Service to its Affiliates. In such cases, all rights and obligations under this Agreement extend to those Affiliates. The Customer represents and warrants full responsibility for breaches by its Affiliates.
The Customer is responsible for all activity on its account and that of its Users, except where such activity results from unauthorized access due to vulnerabilities in the Service itself.
Customers agree not to, and not to permit others to, directly or indirectly:
The Service may interface with third-party products, services, or applications (“Third-Party Services”). Customers may use these services at their discretion. GenieBot.io disclaims responsibility for issues arising from the use of Third-Party Services. Customers should review the terms of these Third-Party Services independently.
Customers are required to pay Fees as specified in the applicable Order. All payment obligations are non-cancellable, and Fees are non-refundable, except where explicitly stated in this Agreement.
GenieBot.io will bill customers using the payment method provided. Failure to provide accurate payment information may lead to suspension of access to the Service.
Fees do not include taxes. Customers are responsible for paying applicable taxes unless they provide valid tax exemption documentation.
This Agreement is effective for the Subscription Period stated in the Order. Upon expiration or cancellation, Customer access will be downgraded to the Free Version.
Either party may terminate this Agreement with written notice if the other party materially breaches the terms and fails to resolve the breach within 30 days of notice.
Except as explicitly stated, the Service is provided “as is” without any warranties, including implied warranties of merchantability or fitness for a particular purpose.
GenieBot.io is not liable for indirect or consequential damages. GenieBot.io’s total liability is limited to the Fees paid by the Customer in the 12 months prior to the claim.
Both parties agree to protect each other’s Confidential Information and use it only for purposes outlined in this Agreement.
GenieBot.io processes User Information as described in its Privacy Policy. Customers are responsible for securing their systems and data.
These Terms of Use are governed by the laws of the State of Geneva, Switzerland. Disputes are resolved in Geneva, Switzerland. Any amendments to this Agreement must be in writing and signed by both parties.
